1. WHO WE ARE, WHAT THIS IS

TickWise ("TickWise", "we", "us") provides software tools: market-data collection, charting, signal recording, replay and analysis, and related dashboards (the "Services"). The Services are TOOLS ONLY. TickWise is not a broker, dealer, investment firm, financial adviser, or portfolio manager, and nothing in the Services is an offer, solicitation, or recommendation to buy or sell any financial instrument.

2. NO INVESTMENT ADVICE

Nothing displayed by the Services — including prices, charts, signals, statistics, win rates, backtests, or any other output — constitutes investment, legal, tax, or other advice, or any indication of expected performance. Signals and analytics are historical records and mathematical calculations, not recommendations. Past performance is not indicative of future results. Any trading or investment decision you make is YOURS ALONE, made independently and at your sole risk, and you are solely responsible for evaluating its merits and risks, including with your own professional advisers.

3. ASSUMPTION OF RISK

Trading foreign exchange, CFDs, and other leveraged products carries a high level of risk and can result in the loss of ALL invested capital. You represent that you understand these risks and accept them entirely. You agree that you will not treat any output of the Services as a promise, forecast, or guarantee of any outcome.

4. DATA ACCURACY — NO GUARANTEE

Market data, quotes, bars, ticks, signals, and derived analytics may be delayed, incomplete, interrupted, inaccurate, out of order, or wrong, whether due to upstream sources, connectivity, software defects, or otherwise. We do not warrant the accuracy, completeness, timeliness, or availability of any data or of the Services, and you agree not to rely on them for any time-critical or financial decision.

5. SERVICES PROVIDED "AS IS"

The Services are provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We may modify, suspend, or discontinue any part of the Services at any time without notice or liability.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) TickWise and its owners, operators, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading losses of any kind, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages; (b) our total aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of the amount you paid us for the Services in the twelve (12) months preceding the claim or EUR 100; and (c) these limitations apply regardless of the theory of liability (contract, tort, negligence, statute, or otherwise) and even if a remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, liability for fraud or for death or personal injury caused by negligence, where such exclusions are not permitted).

7. YOUR RESPONSIBILITY AND INDEMNITY

You are solely responsible for every decision and action you take in reliance on, or in connection with, the Services, including all trading and investment decisions and their outcomes. You agree to indemnify and hold harmless TickWise and its owners, operators, and employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

8. ACCOUNTS AND ACCEPTABLE USE

You must provide accurate registration information and keep your credentials confidential; you are responsible for all activity under your account. You may not misuse the Services, including attempting unauthorized access, disrupting operation, scraping at abusive volumes, or using the Services for unlawful purposes. Access to features is granted at our discretion and may be revoked at any time. We may suspend or terminate accounts at our sole discretion, with or without notice.

9. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into contracts. The Services are not directed at any person in a jurisdiction where their use would be contrary to law; you are responsible for compliance with your local laws.

10. INTELLECTUAL PROPERTY

The Services, including software, design, and content we provide, are our property or that of our licensors. You receive a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. No other rights are granted.

11. CHANGES TO THESE TERMS

We may update these Terms. The version date above identifies the terms you accepted. Material changes will be presented for acceptance on your next sign-in or notified by email; continued use after notice constitutes acceptance.

12. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of [JURISDICTION — operator/counsel to determine], excluding its conflict-of-law rules. Disputes shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION], unless mandatory consumer law provides otherwise.

If any provision is held unenforceable, the remainder stays in effect and the provision is enforced to the maximum permitted extent. These Terms are the entire agreement between you and TickWise regarding the Services.
